The SEC registrant is Worksport Ltd. (CIK 0001096275), and its common stock trades on the Nasdaq Capital Market under WKSP. The company manufactures tonneau covers in West Seneca, New York, while developing the NEXUS cover, SOLIS solar cover, COR mobile power system, and technologies through its Terravis Energy subsidiary.
On August 26, Worksport announced preliminary and unaudited July results: approximately $2.52 million of product orders, $2.22 million of net sales, $0.68 million of gross profit, a 30.8% gross margin, and approximately $0.30 million of firm orders remaining in backlog. Management described the resulting annualized revenue rate as $30 million. That run-rate figure is an issuer calculation based on current activity, not filed annual revenue or a guaranteed forecast.
Filed Q2 results supply the bridge. Net sales reached a record $5.23 million, gross profit reached $1.65 million, and gross margin expanded to approximately 31.5%. Q2 operating cash use declined to approximately $3.44 million from $8.23 million in Q1, while the net loss narrowed to $3.97 million from $5.83 million.
Opening sources: Worksport's August 26 operating update, the matching Newswire publication, the Q2 2026 Form 10-Q, and Worksport's Q2 results release. July figures are preliminary and unaudited. Product orders, fulfilled net sales, backlog, and annualized run rate are distinct measures. All monetary figures are U.S. dollars.

July Extends the Ramp Beyond the Filed Q2 Record
Worksport's filed Q2 net sales of $5.23 million increased 27.4% year over year and 57.9% from Q1. Gross profit of $1.65 million increased 52.5% year over year and 93.2% sequentially, while gross margin reached approximately 31.5%. Operating expenses declined approximately 17% from Q1, and operating loss narrowed approximately 34%.
July then produced another step forward. Preliminary net sales increased 6.7% from June and 60.6% from March. Monthly net sales progressed from approximately $1.38 million in March to $2.22 million in July, and gross margin remained above 30% for a third consecutive month.
The distinction between orders and revenue matters. Worksport reported $2.52 million of July orders, $2.22 million of fulfilled net sales, and $0.30 million still in backlog. The bullish read requires that backlog to convert into shipped sales without surrendering the margin gains.

The Factory Is Converting Investment Into Sales
The strongest part of the WKSP thesis remains the least exotic: the tonneau-cover operation is real, growing, and increasingly efficient. Worksport's 2025 revenue reached $16.1 million, up 89.8% from 2024. The filed Q2 record and the preliminary July figures show that the U.S. factory carried momentum into the second half.
At June 30, Worksport reported $12.07 million of inventory, $10.96 million of working capital, and $11.95 million of net property and equipment. Those assets create production capacity, but the value case depends on disciplined inventory conversion and repeatable customer demand.
Q2 operating cash use of approximately $3.44 million was 58% below Q1. That is a material improvement, not cash-flow positivity. Worksport still recorded a $3.97 million quarterly net loss and retained substantial going-concern uncertainty.
NEXUS, Tri-State, and Meyer Add Sales Lanes
Worksport started NEXUS production on April 13 and launched commercial sales on April 20. The cover's single-side operating system addresses a real usability problem in folding covers. The company reported approximately $250,000 of pre-order interest ahead of launch.
Tri-State Enterprises placed initial purchase orders after onboarding, and Meyer Distributing joined as a national distribution partner in June. These relationships extend Worksport into established dealer and installer networks. Larger annual account values remain management projections until orders, shipments, and repeat purchases appear in reported results.

SOLIS, COR, and ZeroFrost Remain Upside Platforms
Worksport began shipping SOLIS solar covers and COR portable energy systems before Q1 ended. These products expand the addressable market from truck accessories into mobile power, but the filed numbers still identify tonneau covers as the operating foundation.
Terravis Energy adds longer-duration optionality. The U.S. Patent and Trademark Office issued Patent No. 12,624,872 B2 for the AetherLux heat-pump system incorporating ZeroFrost technology. Worksport targets certification in the second half of 2026, while its Q1 update excluded AetherLux revenue from 2026 projections.

The Valuation Still Discounts the Operating Assets
WKSP closed August 26 at $0.51. Applied to the 15,298,333 common shares reported outstanding on August 11, that price implies an equity value near $7.8 million. At 11:47 a.m. ET on August 27, Nasdaq quoted WKSP at $0.7465, implying approximately $11.4 million on the same dated share count.
Worksport reported $28.09 million of assets, $9.01 million of liabilities, and $19.08 million of shareholders' equity at June 30. Neither the balance-sheet figure nor the equity-value calculation is a liquidation value. Losses, financing, inventory conversion, and later issuance change the comparison.
The asymmetry remains visible. The August 27 intraday equity value was still roughly 60% of June 30 shareholders' equity while Q2 sales, gross profit, and July orders moved higher. The rerating case requires continued execution rather than a single high-volume session.
Cash Burn, Dilution, and Nasdaq Compliance Set the Cost of Entry
Worksport ended Q2 with $1.16 million of cash and approximately $0.82 million available on its revolving credit line. The company has never generated a profit, reported a $93.72 million accumulated deficit, and retained substantial going-concern doubt.
Common shares increased from 9.81 million at December 31 to 15.30 million on August 11, an increase of approximately 56%. During the first half, Worksport sold 3.16 million shares through its $4 million at-the-market program for $4.00 million of gross proceeds. The June cashless warrant feature was exercised, placing the resulting shares into the issued-share bridge rather than leaving them as a future-only scenario.
On August 13, Nasdaq notified Worksport that it no longer satisfied the $1 minimum bid-price rule. The company has until February 9, 2027 to regain compliance during the initial period, and its common stock continues trading on Nasdaq during that period. Shareholders also vote September 3 on split authority that includes an aggregate reverse ratio as high as 1-for-250.

$0.60 Is Support; $0.77 Is the First Closing Test
Completed-session technical snapshot for August 26: WKSP closed at $0.51, up 4.08% from $0.49, after trading between $0.491 and $0.54. Regular-session volume was 1.75 million shares, approximately 4.15 times the prior 20-session average of 421,485 shares.
Intraday news snapshot: Nasdaq quoted WKSP at $0.7465 at 11:47 a.m. ET on August 27, up 46.37%, with approximately 170.2 million shares traded and an intraday range of $0.60-$0.84. This is an incomplete-session observation, not a closing price.
| Indicator | Value | Interpretation |
|---|---|---|
| 5-session SMA | $0.5492 | Reclaimed intraday after the news |
| 10-session SMA | $0.6077 | First support reference |
| 20-session SMA | $0.6469 | Breakout area requires a close |
| 50-session SMA | $0.7419 | Current intraday decision line |
| 100-session SMA | $0.8238 | Upper trend-repair reference |
| Wilder RSI(14) | 31.30 | Based on completed sessions through August 26 |
The August 27 surge reclaimed the 5-, 10-, 20-, and 50-session averages intraday. A regular-session close above $0.77, the prior 20-session high zone, confirms the first trend repair. Follow-through above $0.84 opens the $1 Nasdaq-compliance level as the next structural reference.
Support sits at $0.60-$0.65, where the news session opened and crossed the 10- and 20-session averages. A close below $0.60 weakens the breakout. A decisive break below the August 26 low near $0.491 ends the current technical thesis.
Technical sources: Nasdaq WKSP quote data, retrieved August 27, 2026 at 11:47 a.m. ET, and Yahoo Finance daily chart data. Moving averages and Wilder RSI use completed sessions through August 26. The prior-volume denominator excludes August 26.
Why the Evidence Favors WKSP
- Filed Q2 net sales reached a record $5.23 million, up 57.9% sequentially.
- Filed Q2 gross profit reached $1.65 million, up 93.2% sequentially.
- Preliminary July product orders reached a company record of $2.52 million.
- Preliminary July net sales reached $2.22 million, with $0.30 million remaining in backlog.
- Gross margin remained above 30% for a third consecutive month.
- Q2 operating cash use declined 58% from Q1.
- The August 26 closing equity value remained below half of June 30 shareholders' equity.
- The August 27 session produced a major volume expansion and reclaimed key moving averages intraday.
WKSP is worth your attention because the operating improvement is now visible across filed Q2 results, preliminary July sales, record orders, margin persistence, and reduced cash use. The market has started reacting, but the thesis still requires backlog conversion, disciplined financing, and a sustained close through resistance.
Evidence That Ends the Bull Case
- Filed July results that fail to reconcile with the preliminary operating update.
- Backlog that does not convert into shipments and recognized net sales.
- Gross margin falling back below 30% without a specific operating explanation.
- Operating cash use returning toward the Q1 pace.
- Further rapid common-share expansion through a shelf, new facility, warrants, or equity compensation.
- NEXUS and named distribution relationships failing to produce repeat demand.
- Failure to resolve the Nasdaq bid-price deficiency within the available compliance process.
- A regular-session close below $0.60, followed by a break below $0.491.
Record Orders Move the Story Past the Q2 Test
WKSP presents a bullish setup after the August 26 operating update. Q2 proved that sales and gross profit were scaling while cash use declined. July added record orders, another monthly sales increase, a third month above 30% gross margin, and visible backlog entering August.
The technical structure now has objective lines. Support is $0.60-$0.65. The first confirmation is a regular-session close above $0.77, followed by $0.84. The operating thesis requires fulfilled sales, margin retention, lower cash consumption, and controlled share issuance.
The going-concern language, $1.16 million cash balance, historical dilution, Nasdaq deficiency, and reverse-split authority stay in the analysis. They explain the discount and define the evidence Worksport must overcome.
