Repeat Orders Put Real Sites Behind the Platform
The October 13 contracts cover Hapjeong Districts 5 and 6 in Seoul and Nonhyeon ALT2 in Incheon.[1][2] The issuer puts their combined value at approximately $14.8 million, including value-added tax.[1][2] Its October 6 announcement covered Seocho ALT1, Seocho ALT2 and Nonhyeon ALT1, valued at approximately $12.2 million excluding VAT, or $13.4 million including VAT.[1][2]
These are six separately identified project awards, not two descriptions of the same three contracts.[1] The October 13 release explicitly distinguishes the new sites from the October 6 awards.[1] Its commercial significance is additional work from existing customers, rather than an unannounced customer relationship or an acquisition proposal.[1]
The two headline amounts use different tax bases and must not simply be added.[1][2] Dollar values here retain the issuer’s approximate USD reference translations; the underlying contracts are not denominated in U.S. dollars.[1][2] Contract value is not the same as revenue, profit, customer cash received or a current cash balance.[1][2]
The Construction Calendar Sets the Pace
Both announcements put the expected construction start in the first half of 2027.[1][2] Values reflect preliminary designs and remain subject to detailed-design changes.[1][2] Delivery and installation depend on construction progress and agreement between the parties; the contracts allow changes, postponement and cancellation, and project financing remains an execution risk.[1][2]
The releases expressly say that contract values are not revenue guidance.[1][2] Revenue recognition follows actual performance and timing, not the announcement date.[1][2] The constructive interpretation is a larger commercial opportunity with identifiable sites; the financial proof is funded work that proceeds through installation, acceptance and collection.[1][2]
Fire4Cast Connects Monitoring With Preventive Action
Roze AI describes Fire4Cast as wireless sensing connected to its Disaster AI Platform, which combines sensor and facility information with AI and digital-twin technology.[1][2] The platform generates a Fire Risk Index intended to support monitoring, earlier identification of risk signals and preventive action.[1][2] The new project scope combines digital-twin platforms, fire-protection equipment and installation work, rather than software subscriptions alone.[1][2]
Our assessment: repeat orders are a more concrete commercial signal than the AI label by itself.[1][2] They do not independently establish forecast accuracy, a false-positive rate or the ability to prevent every fire.[1][2] The reviewed releases do not supply quantified predictive-performance results, and international expansion remains a strategy rather than contracted overseas revenue.[1][2]
Project Scale Still Has to Reach the Accounts
The latest actual financial statements in the reviewed September 30 filing cover 2025 and 2024, not a 2026 interim period.[3] Revenue fell approximately 72.1%, while net losses and operating cash use increased.[3]
| USD, reported | 2025 | 2024 |
|---|---|---|
| Revenue | $2.30 million | $8.23 million |
| Net loss | $6.03 million | $1.44 million |
| Operating cash used | $3.01 million | $1.98 million |
| Year-end cash and short-term deposits | $1.08 million | $2.78 million |
These are dated historical results, not a current cash estimate.[3] The auditor’s going-concern warning remains material.[3] The later preferred-share placement supplied financing, but it does not turn the year-end balance into today’s cash or establish that every project’s working-capital needs are funded.[3]
New Capital Carries a Variable Share Count
The Class C preferred placement closed on September 28 with 1.25 million preferred shares sold for $8 each, producing $10 million gross proceeds.[3] Their $10 stated value creates a $12.5 million base for conversion calculations before relevant dividends and adjustments—not $12.5 million of cash raised.[3]
The conversion price is the lower of $8 or 80% of the lowest closing price during the preceding five trading days, subject to the operative floor and adjustments.[3] The floor starts at $4 and is scheduled to reach $1 no later than 120 days after initial issuance; contractual anti-dilution and default provisions add further exposure.[3] A 4.99% beneficial-ownership blocker limits a holder’s conversion at a point in time, not the total lifetime supply.[3]
For scale, the unadjusted $12.5 million base represents a calculated 1,562,500 common shares at $8, 3,125,000 at $4, or 12,500,000 at $1.[3] These are conditional illustrations, not reported conversions, a current share count or a maximum under every contractual scenario.[3] Lower conversion prices increase the common shares required for the same stated value.[3]
Registration, Issuance and Resale Are Different Events
The September 28 final direct-listing prospectus covers 18,138,565 resale shares: 13,878,565 already-outstanding common shares and 4,260,000 shares underlying advisor warrants.[4] The latter have an $8 exercise price.[4] Registered warrant shares are not automatically issued shares, and registered-holder resales do not send their sale proceeds to Roze AI.[4]
A separate September 30 preliminary F-1 seeks to register 19,814,230 shares: up to 18,750,000 preferred-conversion shares and 1,064,230 already-issued advisory shares.[3][5] The reviewed SEC submissions show that new filing but no effectiveness notice for its registration file.[3][5] It is a pending resale registration, not proof that all of those shares are issued, freely tradable or sold.[3][5]
The new filing reports 55,643,389 common shares outstanding as its dated disclosure.[3] It separately describes a planned 7,250,000-share issuance to the chief executive; its 62,893,389 adjusted count is not a verified current issued count.[3] No present-day float or fully diluted share total is asserted here.[3]
The Chart Has Not Confirmed the Operating Story
Nasdaq’s completed regular session for October 15, 2026, at 4:00 p.m.[6][7] ET closed at $9.81, up 3.48% from the October 14 close of $9.48.[6][7] Extended-hours prints are separate and are not used in the completed-session calculations below.[6][7]
The 12 available executed daily bars in the saved Yahoo series run from September 30 through October 15.[7] They produce a five-session average of $9.92 and a ten-session average of $11.72.[7] The close remains below both: this is not a confirmed technical breakout.[7] There is insufficient recorded history for a 14-session RSI or 20-/50-session averages.[7]
The first overhead reference area is approximately $9.97–$10.20, followed by $10.64–$10.84.[7][8] Feed-specific daily lows differ—Yahoo records $9.07 for October 15, while CNBC shows $9.03—so approximately $9.00–$9.20 is a reference area rather than a precise or guaranteed floor.[7][8] These levels describe observed prices, not targets or trading instructions.[7][8]

Delivery and Per-Share Economics Define the Next Test
The constructive case is specific: existing customers have awarded additional identified projects for a platform that combines monitoring technology with physical fire-safety work.[1][2][3] The next evidence is construction progress, funded delivery schedules, customer acceptance and the conversion of work into revenue and cash.[1][2][3] Stable margins and a financing path that preserves common-share participation matter alongside project scale.[1][2][3]
That interpretation weakens if projects are delayed or cancelled, cash needs outrun financing, or preferred conversions and other securities absorb the economic progress.[1][3] The orders expand the commercial opportunity; execution and the share structure determine its outcome.[1][3] This is general market commentary, not personalized investment advice.[1][3]
