What the New Listing Actually Opens
Roze AI Inc. is a British Columbia corporation with a South Korean operating subsidiary. Its final prospectus describes a Nasdaq Capital Market direct listing of common shares under RZAI. The company developed DAP, a Disaster AI Platform, with its Fire4Cast service designed to combine facility and sensor information into a fire-risk index and advance warning. Product deployment, customer retention, repeatable revenue, and validated prediction performance are the operating proof; a listing by itself does not deliver that proof.[1][3]
This is a registered shareholder resale, not a firm-commitment underwritten common-stock offering. Roze AI receives no proceeds if registered shareholders dispose of their shares. The September 28 preferred financing is separate and brought $10 million in gross placement proceeds; gross is not cash available after fees and other uses. The direct-listing structure leaves initial liquidity and price discovery uncertain.[1]
The Operating Base Is Smaller Than the Technology Ambition
For 2025, Roze AI reported $2.295 million in revenue, versus $8.225 million in 2024, and a $6.030 million net loss, versus $1.444 million a year earlier. Year-end cash was $1.084 million and shareholders' equity was a $316,427 deficit. The prospectus discusses substantial doubt about continuing as a going concern; management's December 2025 forecast said then-existing resources supported its plan through approximately September 2026. The later $10 million gross preferred placement changes the funding picture, but does not rewrite those historical results or prove sustainable cash generation.[1]
The constructive case requires Fire4Cast and related products to turn engineering capability into repeat commercial contracts and improving cash flows. That distinction is essential when a new AI listing enters the market with a steep prior-year revenue decline. The product story deserves attention; recognized revenue and balance-sheet follow-through decide whether it earns a premium.[1]
Resale Registration and Variable Preferred Set the Per-Share Test
The final prospectus registers 18,138,565 common shares for resale: 13,878,565 already-outstanding shares and 4,260,000 shares underlying warrants. Registration does not mean every holder disposes of stock on day one, and warrant shares are not already issued common stock. It does identify supply that investors must keep separate from the latest common-share denominator. The prospectus reports 55,643,389 common shares outstanding as of its date and describes another 7,250,000 CEO consulting shares to be issued shortly after the direct listing. The pending shares are not part of the pre-issuance count.[1]
On September 28, Roze AI closed a private placement of 1,250,000 Class C preferred shares for $10 million gross. At $10 stated value each, the aggregate stated value is $12.5 million. Conversion uses the lower of $8 or 80% of the lowest closing share price over the preceding five trading days, subject to an initial $4 floor that steps down to $1 no later than 120 days after issuance and further contractual adjustments. Those underlying common shares are not registered in the current resale prospectus; the company agreed to file a separate resale registration after listing. Conversion share supply depends on the future formula and trading price, not a fixed one-for-one count.[1]
The founder's preferred voting rights are another structural consideration: the prospectus gives Young Jin Cho 58% of voting power before the listing and 61% following the specified listing, placement, and consulting-share issuance. Voting control and economic common-share ownership are different measures.[1]
The First RZAI Chart Must Be Earned by Actual Trades
Research snapshot, September 29, 2026, 10:54 a.m. ET: Nasdaq identified RZAI as a Nasdaq Capital Market security but displayed TRADING HELD, with last sale, bid, ask, and volume unavailable. There was no completed public trading session from which to calculate a moving average, RSI, support, resistance, or a valid volume multiple. Any displayed reference price is not represented here as an executed RZAI trade.[2]
Confirmation: a sustained, orderly market with verified regular-session prices and volume, followed by commercial progress disclosed in filings. Invalidation: failed price discovery, persistent illiquidity, or issuance and resale pressure outpacing the business's operating improvement. Technical levels will be meaningful only after a real trading history exists.

The Opportunity and Its Conditions
RZAI is worth your attention for the combination of a differentiated fire-risk technology narrative and a new Nasdaq listing. The decisive follow-through is not an assumed opening price: it is verifiable deployment, revenue recovery, funding discipline, and a liquid market that absorbs registered resale and later conversion supply. This is a bullish commercial thesis with explicit per-share conditions, not a forecast of the initial trade or a promise of returns.[1]
