The SEC registrant is Medicus Pharma Ltd. (CIK 0001997296), an Ontario clinical-stage biotechnology company. Its common shares trade on the Nasdaq Capital Market as MDCX; separate public warrants trade as MDCXW.[1]

SkinJect Has Crossed From Phase 2 Data Into an Authorized Registrational Study
On July 27, Medicus announced that FDA completed its IND safety review and authorized initiation of SKNJCT-005. The open-label, multicenter, NDA-enabling Phase 2b study is designed to enroll up to 50 Gorlin Syndrome patients who develop multiple basal cell carcinomas.[4]
The protocol now requires baseline biopsy confirmation, a composite endpoint combining clinical and histological clearance, and at least two years of follow-up. Those requirements increase the evidentiary burden while establishing a defined route to the next dataset. Study authorization is not product approval, and no enrollment result or registrational outcome has been reported.
SkinJect is a dissolvable microneedle-array patch designed to deliver doxorubicin directly into basal-cell-carcinoma lesions. The local-delivery premise is especially relevant to Gorlin Syndrome, where patients repeatedly develop numerous lesions and often face recurring surgery.
The Prior Dataset Supplies the Dose Rationale—With a Small-Subgroup Caveat
SKNJCT-003 enrolled 90 participants in a randomized, double-blind, three-arm Phase 2 study. A pre-specified central-pathology reconciliation identified 69 participants who met the intended nodular-BCC criteria. In the 200-microgram Day-57 subgroup, only 11 participants remained; the issuer reported 64% clinical clearance and 55% histological clearance after three treatments.[5]
The dose response supported selection of 200 micrograms for the next study, but a small subgroup does not establish broad efficacy or commercial value. The new Gorlin study needs enrollment, endpoint execution, durability evidence, and a regulatory package strong enough for FDA review.
Teverelix Adds Two Distinct Phase 2 Test Lanes
Medicus reported FDA written feedback and central IRB approval, with modifications, for ANT-2111-02, a randomized Phase 2 study of Teverelix after a first acute-urinary-retention episode. The optimized plan targets approximately 126 patients across the United States and Europe, down from approximately 390 in the previous design. Each principal investigator and site still needs local authorization before enrollment begins.[6]
A separate UAE program, PRECISION-E2, has Department of Health authorization. That randomized Phase 2a study is designed for approximately 84 women with moderate-to-severe symptomatic endometriosis and includes exploratory genomic analysis. Any candidate response signature still requires confirmation in later clinical work.[7]
The two Teverelix programs diversify the clinical calendar across urology and women's health. They also increase execution needs: trial activation, recruitment, dosing, data quality, and capital allocation now have to progress beside SkinJect.
The Cash Headline Requires a Liability and Restriction Reconciliation
At June 30, Medicus reported $15.174 million of cash and $10.017 million of restricted cash, for a combined $25.192 million. Total assets were $27.116 million, total liabilities were $28.841 million, and shareholders' deficit was $1.725 million. Working capital was $6.140 million.[2]
The combined cash figure was roughly 1.53 times CNBC's September 2 market capitalization, but that comparison is not net cash. The controlled $10 million deposit is restricted, liabilities exceed assets, and unrestricted cash alone was about 0.92 times CNBC's market value.
Medicus recorded no product revenue, a Q2 net loss of $11.684 million, a first-half net loss of $20.727 million, and first-half operating cash use of $15.953 million.[2]
| Q2 Financial Metric | Amount | What It Means |
|---|---|---|
| Unrestricted cash | $15.174M | Available cash reported at June 30 |
| Restricted cash | $10.017M | Controlled deposit tied to secured notes |
| Q2 net loss | $11.684M | Loss widened from $6.176M |
| Six-month operating cash use | $15.953M | Historical use averaged about $2.66M monthly |
| Shareholders' deficit | $1.725M | Liabilities exceeded assets |
The filing states that the loss history and funding uncertainty create substantial doubt about Medicus continuing as a going concern within one year after the financial statements were issued. The clinical thesis therefore depends on disciplined cash deployment and additional financing terms that protect per-share value.
The Financing Base Expanded Shares and Added Secured Obligations
Basic shares rose from 25.176 million at December 31 to 60.168 million at June 30 and 63.181 million on the August 10 cover date—a calculated 150.95% increase from year-end. The ATM accounted for 28.249 million shares through June and another 2.813 million afterward, or 31.062 million shares for approximately $13.709 million gross.[2]
The ATM is authorized for up to $50 million. Contractual authorization does not equal currently usable capacity; Form S-3 limits depend on current public float and rolling issuance. The SEPA also had $2.489 million stated as available at June 30 after first-half issuance of 5.337 million shares.[2][10]
The 2026 secured-note transaction added $22.864 million of principal: $12 million was delivered to the company and $10 million entered the restricted account. Note A carries 8.75% interest and a 6.7% original-issue discount; Note B carries 5%; both mature November 27, 2027.[8]
At June 30, 7.282 million warrants were outstanding and exercisable at strikes from $2.00 to $4.64. Those strikes sit far above $0.2599, so the immediate supply issue is the existing ATM/SEPA and the enlarged basic denominator rather than cash warrant exercise.
Two Nasdaq Deadlines Sit in Front of the Clinical Calendar
MDCX remains below two Nasdaq standards. The minimum-bid deadline is October 19, 2026; compliance requires a closing bid of at least $1.00 for at least ten consecutive business days. The market-value-of-listed-securities deadline is November 16, 2026; compliance requires at least $35 million for at least ten consecutive business days.[8][10]
Shareholders authorized the board to implement a consolidation of up to 50-for-1, but no implemented ratio appears in the cited filings. A consolidation can address the bid-price arithmetic; it does not repair market value, clinical execution, cash use, or ownership dilution.[9]
MDCX Live Chart: The $0.2425 Floor Faces a Low-Volume Reclaim Test
Open the full MDCX chart on TradingView →
Completed-session snapshot through September 2: MDCX opened at $0.2515, traded between $0.2515 and $0.2600, and closed at $0.2599, up 3.46% from $0.2512. Nasdaq historical volume was 354,279 shares, or 0.264 times the prior 20-session average of 1.342 million shares.[11][13][14]
| Indicator | Value | Interpretation |
|---|---|---|
| 5-session SMA | $0.25968 | The close reached the immediate average |
| 10-session SMA | $0.26293 | First reclaim level |
| 20-session SMA | $0.28285 | Primary short-term confirmation |
| 50-session SMA | $0.33877 | Intermediate trend remains damaged |
| 100-session SMA | $0.33498 | Overlaps the higher resistance band |
| Wilder RSI(14) | 41.35 | Below neutral without an extreme oversold reading |
Support sits at $0.2500-$0.2425. A sustained close above $0.2630 reclaims the 10-session average. Holding $0.2750-$0.2830 on volume above the 1.342 million prior-20 average provides cleaner confirmation. The next resistance cluster is $0.3310-$0.3390. A decisive close below $0.2425 invalidates the current support base.

What Converts the Pipeline Into Per-Share Progress
- SKNJCT-005 activating sites and enrolling Gorlin Syndrome patients under the authorized protocol.
- The 200-microgram SkinJect regimen reproducing clinical and histological clearance in a larger registrational cohort.
- The optimized acute-urinary-retention study clearing local sites and beginning enrollment near its 126-patient design.
- PRECISION-E2 moving from UAE authorization into active recruitment and interpretable Phase 2a data.
- Operating cash use declining from the first-half pace.
- Share issuance slowing enough for clinical value to outgrow the denominator.
- Nasdaq bid and market-value compliance being restored before the stated deadlines.
- Price holding $0.2425 and reclaiming $0.2830 on materially stronger volume.
The Three-Program Valuation Call
MDCX is worth your attention. An FDA-authorized SkinJect registrational study, two distinct Teverelix Phase 2 paths, and $15.174 million of unrestricted June cash give Medicus several ways to create clinical evidence against a $15.6 million-$16.4 million equity value.
The bullish case is per-share and milestone-dependent. The company has no product revenue, the Q2 loss widened, liabilities exceed assets, the share count increased 150.95% from year-end, and two Nasdaq deadlines are active. The upside thesis earns confirmation through enrollment, reproducible clinical data, controlled cash use, slower issuance, and a chart reclaim above $0.2830.
Evidence That Breaks the Setup
- SKNJCT-005 failing to activate, enroll, or reproduce the prior SkinJect response signal.
- Safety, durability, clinical-clearance, or histological-clearance data failing the authorized protocol.
- The acute-urinary-retention or endometriosis programs stalling before patient enrollment.
- Cash use remaining near the first-half pace without a matching clinical inflection.
- ATM or SEPA issuance expanding shares faster than clinical value.
- Secured obligations tightening liquidity while restricted cash remains unavailable for ordinary use.
- Failure to restore the $1.00 bid or $35 million market-value standards.
- A decisive regular-session close below $0.2425.
