GCDT is worth your attention. Green Circle Decarbonize Technology has moved from an energy-storage concept to reported project revenue, a manufacturing partnership and two newly submitted Hong Kong building-efficiency tenders. Tender submission is not an award or booked revenue. The upside case now rests on contract wins and repeatable cash generation; a newly effective resale prospectus, a convertible note and warrants make the per-share outcome just as important as the operating story.[1][3][4]

Two Cooling Tenders Create a Clear Contract Test

On September 30, subsidiary Boca International reported competitive tender submissions for chiller replacement at MOS Centre and an air-conditioning retrofit plus operation-and-maintenance proposal at Nan Fung Centre. The proposed contract amounts translate to approximately $0.89 million and $7.65 million, respectively, using the Federal Reserve's October 2 rate of 7.8470 Hong Kong dollars per U.S. dollar. The combined approximately $8.54 million is a proposal value, not an awarded backlog, a completed contract or recorded revenue. Winning either tender, then disclosing terms and collections, is the decisive proof point.[1][9]

Green Circle also announced a September 8 strategic partnership appointing SANVO Fine Chemicals Group as exclusive Chinese manufacturer for BocaPCM-TES panels. The reported initial term is three years, with detailed operational agreements still to be executed. Existing production capacity gives the expansion case a plausible capital-light route, while actual order volumes, margins and delivery economics remain undisclosed.[2]

Sales Growth Is Real; Cash Conversion Is the Next Hurdle

For the fiscal year ended March 31, 2026, reported revenue rose 51.1% to approximately $3.19 million from approximately $2.11 million in fiscal 2025. These U.S.-dollar approximations translate the company's reported figures at the Federal Reserve's October 2 rate; they are not the company's reporting currency. Fiscal 2026 also produced an approximately $1.67 million net loss and approximately $1.98 million of cash used in operating activities. Growth has not yet translated into positive operating cash flow.[3][9]

Cash and equivalents were approximately $4.63 million at March 31, 2026 on the same translation basis. That is a dated balance-sheet amount, not an October cash balance. The annual report also describes a material weakness in financial reporting controls involving accrual accounting, right-of-use impairment and loan accounting. Any subsequent financing must be evaluated against both cash needs and the number of shares ultimately issued.[3][9]

The October 5 Prospectus Changes the Per-Share Math

On October 5, Green Circle filed a resale prospectus covering up to 447,004,635 Class A shares: up to 182,016,746 tied to conversion of its July note and up to 264,987,889 tied to warrants. The filing reports 7,191,205 Class A and 6,360,000 Class B ordinary shares outstanding as of its date. The registration is a conditional resale ceiling, not 447 million newly issued shares and not today's free-trading float. The prospectus says its note-share registration includes a 200% buffer and the registered warrant shares represent only part of the possible warrant issuance at its illustrated floor scenario.[4]

The underlying July financing includes a $10 million face-value note with a 20% original-issue discount and conversion tied to 80% of the lowest of five recent closes, subject to contractual floors and adjustments. Warrants started at a $2.00 exercise price with anti-dilution adjustments. A separate equity-purchase arrangement adds another potential financing path; its shares are not part of this specific resale registration. Conversion, exercises and any later issuance must be tracked separately rather than stacked as though every registered share already exists.[4]

The company says a 1-for-6 share consolidation becomes effective at 12:01 a.m. ET on October 7, with split-adjusted NYSE American trading expected at the open under the same GCDT ticker. A purely mechanical sixfold adjustment to the October 5 close is approximately $2.57; it does not create value or remove financing pressure. Fractional positions round up, and actual post-consolidation shares and security terms require fresh confirmation.[5][6]

The Last Completed Session Defines the Chart Test

October 5, 2026 completed-session snapshot, ET; pre-consolidation basis: GCDT closed at $0.4291, up 7.28% from the prior $0.40 close. The regular-session range was $0.3915–$0.4634 on approximately 290,000 shares. Simple closing-price averages calculated from Nasdaq's completed daily history were approximately $0.4645 (5 sessions), $0.4996 (10) and $0.4925 (20). The close remained below all three: a constructive contract narrative is not yet a confirmed chart breakout. The historical window contains extreme turnover days, so no routine-volume multiple is claimed.[6][7][8]

Support: the approximately $0.39 completed-session base. Confirmation: a sustained close through the approximately $0.46 near-term high, followed by the $0.50–$0.53 resistance area, with fresh participation. Invalidation: a failure of the $0.39 area or issuance that overwhelms the price response. These levels are October 5 pre-consolidation references; multiply mechanically by six only for initial post-consolidation chart comparisons, then use the newly traded levels.[5][8]

The Upside Case Has Three Verifiable Gates

GCDT is worth your attention because the operating milestones are concrete and near-term. Revenue has grown and management has put named projects into competitive bids.[1][3] The bullish thesis depends on awarded work, operating cash conversion and a share-count path that preserves value per share. Tender losses, weak collections, control deficiencies or heavy note-and-warrant issuance undermine that thesis.[3][4] A split-adjusted quote alone changes none of those fundamentals.[5]
