The September 24 Initiative Connects Diginex's Existing Assets
Diginex announced a group-level Sustainability Science & Intelligence initiative joining scientific, regulatory, and methodological expertise across its sustainability products and advisory services. It identified three workstreams: science and intelligence, product upgrades, and advisory delivery. Interim CEO Archana Kotecha described the effort as an extension of the integration mandate spanning Diginex, Plan A, Matter, and The Remedy Project. Johannes Weber was named vice president for the initiative.[4]
The constructive interpretation is an integrated platform that connects ESG reporting, carbon accounting, supply-chain and human-rights intelligence with enterprise decisions. The release does not announce a new customer, recognized revenue, or completed Resulticks integration. Evidence of cross-platform contracts and recurring revenue—not the organizational announcement alone—will decide the commercial value.[4]
Resulticks Brings Scale; the Deal Still Has to Close
Diginex's amended definitive agreement, dated August 14, replaced the original $1.5 billion transaction terms. The current proposed consideration is $1.05 billion in stock: 600 million newly issued Diginex ordinary shares at an agreed $1.75 per share, subject to proportional adjustments for any share consolidation. Diginex describes Resulticks as an AI-powered real-time customer-engagement business and reported Resulticks FY2025 revenue of $150 million and profit after tax of $17 million. These are company-described target-company figures, not Diginex's reported consolidated revenue or independently verified post-close results.[6][7]
The September 24 proxy schedules an extraordinary general meeting for October 8, 2026 at 10:00 a.m. ET. The parties target completion by October 30, subject to shareholder and Nasdaq/change-of-control approvals, additional investment requirements, consents, and other closing conditions. A signed agreement and a vote date are milestones; neither establishes a completed combination.[5][7]
That distinction is the core opportunity. A completed combination with verifiable Resulticks earnings would change the scale of Diginex's operations; a delayed or failed transaction leaves investors with the much smaller standalone business and its own financing needs. The October vote is a checkpoint, not a guarantee of an October close.
The Standalone Financial Base and the Share-Issuance Test
For the year ended March 31, 2026, Diginex reported $3.616 million in revenue, up approximately 77% year over year, an $24.886 million operating loss, a $31.146 million net loss, and $14.105 million of operating cash outflow. Cash and equivalents were $4.866 million at year-end. The audit report includes a going-concern emphasis—without modifying its financial-statement opinion—and the company reported ineffective internal controls associated with warrant accounting. Later financing commitments do not retroactively change the March 31 cash balance.[3]
The last exact filed basic denominator reviewed is 50,130,130 ordinary shares as of August 14, after an April 28 eight-for-one consolidation and subsequent issuance. The proposed 600 million consideration shares alone represent roughly 12 times that baseline. If issued on the stated terms with no other changes, existing shares would represent about 7.7% of the resulting 650.13 million shares. That is a transaction scenario, not the current share count or public float.[5][11]
The September 24 proxy also asks shareholders to authorize a 10-for-1 consolidation, a capital increase, a larger incentive pool, and additional potential share issuances tied to Rhino, Resulticks investment, and an introducer. A consolidation changes the numerical share and price basis; it does not remove the economic dilution from new consideration shares. These items remained proposals at the research cutoff, and the ancillary amounts are not already outstanding stock.[5]
One existing instrument deserves separate attention: the 20-F describes Founder Warrants whose full exercise is linked to 51% of the ordinary shares outstanding at exercise, not a simple fixed 4.17-million-share ceiling. The proposed transaction documents contemplate cancelling those warrants and other securities while authorizing up to 40 million Rhino shares under specified forfeiture or treasury-share arrangements. The cancellation and replacement are conditional; counting both as permanently outstanding would overstate the same exposure, while ignoring the existing warrant before closing would understate it.[3][5]
July financing agreements contemplated $20 million of investment for 20 million shares plus warrants issued on the applicable payment terms. The annual report described proceeds arriving over time rather than all being March 31 cash. Future warrants, transaction shares, and issued common belong in separate layers; none should be counted twice.[8][3]
The DGNX Chart: A Defined Base, Not a Confirmed Breakout

Completed regular session, September 24, 2026 (ET): DGNX closed at $1.40, down 4.76% from the September 23 close of $1.47, after trading from $1.38 to $1.55. Nasdaq and CNBC quote feeds disagree on the session's precise volume and an after-hours last trade; neither an exact volume multiple nor a thin after-hours print is used as confirmation here.[10][13]
Using Nasdaq completed daily closes through September 23 and the cross-checked September 24 regular close, the approximate 5-, 10-, 20-, 50-, and 100-session simple moving averages are $1.442, $1.418, $1.394, $1.399, and $1.271, respectively. Wilder RSI(14) is approximately 49.8. The close is just above the 20- and 50-session lines but below the faster 5- and 10-session lines: an early base, not a confirmed trend reversal. All historical levels shown use the post-April-consolidation share basis.[10][11]
Support: $1.38 is the repeated near-term low; $1.33–$1.35 is the next area that needs to hold. Confirmation: a sustained close over $1.55–$1.585, followed by $1.64 with stronger participation, would establish a clearer breakout. Invalidation: a close below $1.33 damages the base, and loss of the $1.13 20-session low breaks the broader September structure. These are chart references, not promised outcomes.[10]
What the October Window Needs to Prove
- Shareholders approve the exact Resulticks agreement and related capital proposals on October 8.
- Nasdaq and any other required parties approve the change-of-control transaction on disclosed terms.
- Additional-investment conditions are satisfied with cash actually received or clearly documented financing.
- Audited and pro forma information reconciles Resulticks' company-reported revenue and profit with the combined issuer.
- The final post-consolidation share count, equity-award pool, warrants, and ancillary issuances are disclosed together.
- The chart holds its September base and eventually confirms above $1.64 on credible regular-session participation.
DGNX is worth your attention for this dated catalyst sequence. The sustainability platform already has real revenue, the new cross-group initiative gives management an integration plan, and the proposed AI combination changes the potential operating scale. The counterweight is equally concrete: a going-concern emphasis, ineffective controls, recent management turnover, transaction approvals, and very large prospective share issuance. The bullish thesis requires a closed deal, demonstrated combined economics, disciplined per-share financing, and a chart that confirms rather than anticipates those facts.[3][5][14]
